1. About these Terms
These Terms govern your use of the HarpessOps website, software and related services. “HarpessOps,” “we” and “our” refer to the provider of the HarpessOps service identified in your order. “You” means the individual or organization using the service.
You must be at least 18 and authorized to enter into an agreement for yourself or the organization you represent. If you use HarpessOps for an employer or client, you must have permission to connect its systems and authorize purchases.
These Terms, our Privacy Policy, our Refund Policy, the checkout details and any accepted service order form your agreement. A signed order may define additional business terms. It does not reduce mandatory legal rights or refund rights expressly offered with your purchase.
2. Service scope
HarpessOps provides an operating layer for AI development workflows, including workspace configuration, project instructions, permissions, verification steps, handoffs and usage controls. Features, supported integrations and maintenance allowances are described on the pricing page and in your order.
The Managed Team plan is US$600 per month for up to five developers, ten repositories and three agreed workflows, with the setup and maintenance allowances shown on the pricing page. Model consumption, execution infrastructure, taxes and work outside the agreed scope are additional unless included in your order.
Submitting an inquiry, using a calculator or interacting with a website example does not start a subscription or authorize a charge. Paid services begin only after the applicable order and payment requirements have been met.
3. Accounts and access
Keep account information accurate and protect access to your workspace, connected tools and provider keys. You are responsible for the users you authorize. Notify your workspace support contact if you suspect unauthorized access.
Only connect systems and material you have permission to use. Agree on permissions, spending ceilings and review responsibilities before workflows run. Your team is responsible for reviewing and testing generated changes before merge or deployment. Production access or automatic deployment requires separate authorization.
4. Payments and cancellation
Prices are in US dollars unless checkout or your order specifies another currency. Applicable taxes and the final amount are displayed before payment. Monthly subscriptions renew automatically at the stated price and interval until canceled.
For purchases sold through Paddle, the Paddle entity named at checkout acts as merchant of record, collects payment and issues the receipt. Paddle’s Buyer Terms govern that transaction. HarpessOps supplies the software and agreed service.
Cancel through your workspace’s billing portal or the subscription-management link in your Paddle receipt. Cancellation normally takes effect at the end of the paid period and stops later renewals. Refunds are separate requests under our Refund Policy. Usage properly incurred before cancellation remains payable.
We obtain agreement before charging for custom work or expanded scope. Published price changes do not retroactively change paid credits or fixed commitments. Changes to a renewing plan will be communicated before taking effect, so you can cancel before renewal.
5. Prepaid model credits
Model credits are prepaid usage rights for eligible inference inside HarpessOps, recorded in US dollars for metering. They become available after payment confirmation. They are not a fixed number of tokens: models can have different input, output, cache and other billable rates.
Your approved rate card defines eligible providers and routes, applicable rates and any volume discount. Calculator examples do not establish an agreed rate or provider contract. More expensive routes or fallbacks must follow your authorized spending policy.
Paid credits carry over between billing periods and do not expire while your account remains open. Subscription cancellation does not itself erase the balance, but an active eligible plan is required to run paid workflows. Contact support about remaining credits before closing an account.
Credits cannot be transferred, traded or redeemed in a provider’s dashboard. They do not pay the platform subscription or external runner costs. Refunds follow our Refund Policy. New prepaid work pauses when credit or budget is insufficient. There is no automatic move to postpaid or additional purchase without separate authorization.
6. Postpaid usage
Postpaid access requires an agreed ceiling and billing authorization. Usage is calculated at the approved standard rate card plus 10%, unless a signed order states otherwise. Closed-period usage is itemized and added to the next subscription renewal. Your order identifies the cutoff and billing schedule.
Each request has one billing source: prepaid credits, approved postpaid usage or your provider account. Direct-provider usage is not also deducted from HarpessOps credits. Authorized retries, tools and fallbacks can incur costs even when a workflow does not produce an accepted result, as disclosed in the rate card.
7. Your content and ownership
You retain your rights in your code, instructions, data and submitted material. You grant us the limited permission needed to operate authorized features, provide support and fulfill the service agreement. You are responsible for having the necessary rights to provide that material.
HarpessOps branding, website materials and software remain the property of their respective rights holders. Service access grants a limited right to use the software for the agreed purpose, not ownership of it. Third-party code, tools and outputs can have separate license conditions.
Personal information is handled under our Privacy Policy. Confidential workspace information and additional processing requirements may be covered by a service order or data-processing agreement.
8. Acceptable use
Do not use HarpessOps to break the law, gain unauthorized access, steal credentials, distribute malware, infringe privacy or intellectual property rights, impersonate others or disrupt service. Do not bypass permissions, metering, payment requirements or security controls.
Use connected providers under their applicable terms and the rights granted for your workspace. Model or tool access does not authorize unrestricted resale, account sharing or access to another customer’s systems.
9. AI and third-party services
AI outputs can be inaccurate, incomplete or unsuitable. You remain responsible for engineering judgment, acceptance checks and decisions to use, merge or deploy an output. An automated check or completion status is not a guarantee of correctness or security.
Model providers, agent tools, code hosts and infrastructure services operate independently. Their availability, limits and features may change. A tool name or logo does not, by itself, establish endorsement or partnership.
Website examples, calculations and workflow scenarios are not guarantees of savings or business results. Contractual service levels apply only when expressly agreed.
10. Suspension and termination
We may pause affected features for overdue payments, exhausted credits, a payment dispute, a security issue or a material breach. Where practical, we will explain the issue and provide an opportunity to resolve it. Immediate restrictions may be necessary to protect customers, systems or legal obligations.
When a paid period or agreement ends, access follows the applicable cancellation or termination terms. Refund eligibility follows the Refund Policy. Ending access does not remove obligations already incurred or records that must be retained for legitimate accounting, security or legal purposes.
11. Responsibility and legal rights
To the extent permitted by law, the service is subject to the scope, warranties and commitments expressly agreed with you. We do not guarantee uninterrupted operation or that AI-generated work meets every requirement.
For business use, unless a signed agreement states otherwise, our aggregate liability arising from the service is limited to the service fees you paid during the twelve months preceding the event giving rise to the claim. This limit does not apply where prohibited by law, including liability that cannot lawfully be limited for fraud, intentional misconduct or mandatory consumer protections.
Governing law and dispute arrangements, if agreed, are identified in your service agreement. Nothing here removes a mandatory right or remedy that applies in your jurisdiction.
12. Updates and contact
The version in effect when you purchase governs that purchase, subject to agreed renewal and change procedures. Material changes affecting an existing service will be communicated through the account or its contact details.
For workspace support, use the contact in your service order. Send policy questions through our policy contact form. For Paddle payments or refunds, use the support link in your receipt or Paddle Buyer Support.
